1. Who these terms are between

These terms are between RISO INTELLIGENCE LLP (“we”, “us”, “RISO Intelligence”), a limited liability partnership registered in India with GSTIN 21ABFFR1919P1ZZ and its registered office at C/O Rama Ch Behuranua Pada, Madhupatna, Cuttack, Cuttack Sadar, 753010, Odisha, India, and the organisation that subscribes to BidSaarthi (“you”, “the client”).

“BidSaarthi” means the BidSaarthi by RISO Intelligence service, including the client console and anything we deliver through it.

If you accept these terms on behalf of a company, you confirm you are authorised to bind it. These terms, together with your signed order form or accepted quote, form the whole agreement between us.

2. What BidSaarthi is

BidSaarthi is a subscription service that helps your company assess Indian government tenders against the credentials you give us (turnover, completed works, registrations and certifications) and presents an eligibility position for each tender, together with the conditions that drive it.

BidSaarthi is decision support, not a decision. Tender documents are published by procuring authorities, change without notice, and are interpreted by those authorities. Our assessment is our reasoned opinion based on the documents and the information you supply. You remain responsible for reading the tender, for the contents of any bid you submit, and for the commercial decision to bid.

We are not your legal, tax or financial adviser, we do not submit bids on your behalf, and we do not represent you before any procuring authority.

3. Accounts and access

• There is no self-serve signup. Accounts are provisioned by us after a subscription is agreed and paid for.
• Access is granted to your named users. You are responsible for keeping sign-in credentials secure and for what is done under your users’ accounts.
• Tell us promptly at support@bidsaarthi.in if you believe an account has been compromised, or if a user should no longer have access.
• Your subscription is for your organisation. You may not resell, sublicense or share access with another business, or use the service on behalf of a third party, without our written agreement.

4. Service delivery

BidSaarthi is delivered electronically. Nothing is shipped and there is no physical product. The same position is set out on its own page in our shipping & delivery policy, which also covers where we deliver and what delivery costs.

• When access is provisioned. We provision your account within two working days of payment clearing against the invoice for your term. In practice it is usually the same working day.
• How it is delivered. By email to the administrator you name at onboarding: a sign-in link for the client console at https://console.bidsaarthi.in. Access is over the internet using a standard modern browser; there is nothing to install.
• Onboarding. Before the service is useful to you, your company profile has to be entered: credentials, categories, geographies. We do this with you. Until it is complete the console will work but its assessments will be incomplete, and we will say so rather than let you rely on them.
• Term. Your subscription runs for the term stated on your invoice, annual or quarterly, starting on the date access is provisioned.
• If we are late. If we have not provisioned access within two working days of cleared payment and the delay is ours, your term start date moves to the day access is actually provisioned, so you lose no time you paid for.

5. Prices, invoices and payment

• Prices are published on our pricing page and are exclusive of GST, which is added at the applicable rate on the tax invoice.
• Subscriptions are quoted per month and billed annually or quarterly, in advance. There is no monthly billing option.
• The price on your accepted quote is the price for that term. We may change published prices at any time, but a change never applies to a term you have already paid for.
• Every payment is receipted with a GST tax invoice from RISO INTELLIGENCE LLP showing GSTIN 21ABFFR1919P1ZZ.
• How payment is taken. Once you accept a quote we raise the tax invoice and send you a secure payment link for card, UPI or net banking, or our bank details if you would rather transfer. The link is issued from our gated platform at sales.bidsaarthi.in and the money goes to RISO INTELLIGENCE LLP directly. No card, UPI or bank credentials are ever entered on this website, which takes no payments of any kind, and a partner never collects payment on our behalf.
• Where a partner introduces you, the contract for the service is still between you and RISO INTELLIGENCE LLP. You pay us, and we invoice you.

6. Renewal

Subscriptions renew for a further term of the same length unless you tell us otherwise. We will remind you before a renewal invoice is raised. To stop a renewal, follow the cancellation process in our refund & cancellation policy.

7. Cancellation and refunds

Subscription fees are non-refundable. You may cancel at any time, which stops the subscription renewing; your access continues until the end of the term you have paid for.

The full position, including the narrow cases in which we do refund (duplicate charges, payment taken after an acknowledged cancellation, a failure to provision at all, or discontinuation of the service mid-term) is set out in our refund & cancellation policy, which forms part of these terms. Where this section and that page appear to differ, that page governs.

8. Your data

You keep ownership of everything you put into BidSaarthi. You grant us only the permission we need to run the service for you: to store, process and display your data to your users, and to have our infrastructure providers do the same on our instructions.

We do not sell your data. We do not use one client’s bid information to advise a competing bidder on the same tender. How we handle personal data is set out in our privacy policy.

You confirm that you are entitled to give us the information you upload, including where it contains personal data of your employees or directors.

9. Acceptable use

You agree not to:

• Copy, scrape, resell or redistribute our assessments or the contents of the console;
• Reverse-engineer the service, or use it to build or train a competing product;
• Share access with anyone outside your organisation;
• Upload unlawful content, malware, or data you have no right to give us;
• Interfere with the service, attempt to gain unauthorised access, or place an unreasonable load on it by automated means.

If you breach this section we may suspend access. Where the circumstances allow it, we will warn you and give you a chance to put it right first.

10. Availability and support

We aim to keep BidSaarthi available at all times, but we do not promise uninterrupted service. We carry out planned maintenance where we can and give notice of it where it is likely to affect you.

If support does not resolve something, write to support@bidsaarthi.in or call +91 90786 73599 and say so. We acknowledge within three working days and aim to resolve within thirty days.

11. Liability

Nothing in these terms limits liability that cannot be limited under Indian law, including liability for fraud.

Subject to that, and because BidSaarthi is decision support rather than a guarantee of any outcome: we are not liable for a tender you did not win, a bid you chose to submit or not submit, a disqualification by a procuring authority, or any loss of profit, contract, business or anticipated saving.

Our total liability arising out of or in connection with this agreement, in any twelve month period, is limited to the fees you paid us for the service in that period.

12. Ending the agreement

Either of us may end this agreement by not renewing at the end of a term. We may suspend or end it immediately if you materially breach these terms and do not put it right within fifteen days of us asking you to in writing, or if you become insolvent.

Ending the agreement does not entitle you to a refund of fees already paid, except as set out in our refund & cancellation policy.

13. Changes to these terms

We may update these terms. If a change materially affects you, we will give you notice before it takes effect, and the terms in force at the start of your current term continue to govern that term.

14. Governing law and jurisdiction

This agreement is governed by the laws of India. The courts at Cuttack, Odisha have exclusive jurisdiction, save that either party may seek urgent injunctive relief in any competent court.

Before starting proceedings, both of us agree to raise the dispute in writing and to spend thirty days genuinely trying to resolve it.

15. General

• Order of precedence. Where a signed order form or an accepted quote differs from these terms on a commercial point (the price, the length of the term, or what is in scope), the order form governs for that term. It does not displace these terms otherwise, and it does not displace our privacy policy or our refund & cancellation policy: the policies published on this website are the policies that apply to you.
• If a clause is found unenforceable, the rest of these terms continue in force.
• A delay in enforcing a right is not a waiver of it.
• You may not assign this agreement without our written consent, which we will not unreasonably withhold.
• Nobody other than you and us has any right to enforce these terms.
